Mrs. Bosede Giwa-Osagie is the head of the Corporate and Commercial department in the firm. Over the years, she has provided legal services to foreign and local companies on matters arising from their business transactions in Nigeria from client briefing to completion of transaction stages.
She has been actively involved in drafting, reviewing and rendering legal advice on various types of commercial agreements such as MOUs, Joint Venture Agreements, Gas Supply Agreements, Power Purchase Agreements, Technical Service Agreements, Management and Consultancy Agreements, Software Agreements, Distributorship Agreements, Trust Agreements and Partnership Agreements.
Mrs Bosede Giwa-Osagie has advised foreign clients on establishing business in Nigeria, implementation of the entire set up process, incorporation of new companies and preparation of all requisite documentation in respect of same and company compliance matters. She advises on obtaining regulatory approvals and permits from governmental bodies and completion of requisite documentation in respect of same.
She has considerable experience in capital market transactions. She led the team that advised a South African based telecommunications company on the legality of a proposed $500m Guarantee by its Nigerian subsidiary in its Senior Unsecured Term Loan and Revolving Credit Facility. She also advised a South African Telecommunications Company on its proposed borrowing of $41.6 million and $60 million from an international bank for general corporate purpose and working capital.
She advised a cement manufacturing company in its N50 Billion Naira bond issuance programme.
Mrs Bosede Giwa-Osagie led the team that advised an International company in its acquisition of three flour mills in Nigeria and was part of the team that advised a South African company in the proposed acquisition of a telecommunications company in Nigeria.
She has also advised foreign and local clients on mergers and acquisitions involving the conduct of due diligence on the target companies and advising on the legal issues arising from such transactions.
